Teramind “Productivity Paradox” Super Bowl Contest – Official Rules and Terms and Conditions

By submitting an entry, each participant acknowledges and agrees that they have read, understood, and accepted these Official Rules and Terms & Conditions in their entirety. Submission of an entry constitutes the participant’s full and unconditional agreement to be bound by these Official Rules, Teramind’s decisions regarding the Contest (which shall be final and binding in all respects), and all applicable federal, state, and local laws and regulations. Participants further acknowledge that failure to comply with these Official Rules may result in disqualification, forfeiture of any prize, and other remedies available to Teramind under law.
Sponsor This promotion (“Contest”) is sponsored by Teramind, Inc., 525 Randall Ave Ste 100 PMB 491, Cheyenne, WY 82001 (“Teramind” or “Sponsor”). Sponsor reserves the right, in its sole and absolute discretion, to modify, suspend, or terminate the Contest at any time and for any reason, including but not limited to fraud, technical failures, or any factor beyond Sponsor’s reasonable control that impairs the integrity or proper functioning of the Contest. All decisions of Sponsor concerning the Contest, including eligibility, compliance with these Official Rules, selection of winners, and prize awards, are final and binding in all respects. Sponsor is not responsible for late, lost, incomplete, misdirected, or undeliverable entries, nor for any technical, hardware, or software malfunctions or failures of any kind.
Eligibility Open only to natural persons who are legal residents of the fifty (50) United States and the District of Columbia, and who are at least 18 years of age or the age of majority in their jurisdiction of residence (whichever is older) as of the date of entry.
Excluded Parties: Employees, officers, directors, contractors, representatives, and agents of Teramind, its parents, subsidiaries, affiliates, advertising or promotional agencies, prize suppliers, or any other entity involved in the administration or fulfillment of this Contest (collectively, “Released Parties”), as well as members of their immediate families (spouse, parent, sibling, child, or household members, whether related or not), are not eligible to participate or win.
Participation is subject to all federal, state, and local laws and regulations. The Contest is void outside the United States, in Puerto Rico, Guam, all U.S. territories and possessions, and where otherwise prohibited or restricted by law.
Sponsor reserves the right, in its sole discretion, to verify eligibility and disqualify any entrant who tampers with or attempts to undermine the entry process, violates these Official Rules, or acts in a disruptive or unsportsmanlike manner.
How to Enter During the Entry Period, eligible participants must complete all of the following steps:
- Follow Teramind on LinkedIn (or the designated social platform for the Contest).
- Tag at least one (1) friend in the comments on the official Contest post.
- Fill out the short entry form linked in the Contest post with the requested information.
- Share the official Contest post on your own feed/timeline using the required hashtag #ProductivityParadox.
Limit one (1) entry per natural person, regardless of the number of accounts, devices, or email addresses used. Any attempt to submit multiple entries, circumvent the rules, or use automated, scripted, macro, robotic, or other artificial means of entry will result in immediate disqualification and void all entries from that individual.
Entries must comply with all applicable platform terms of service and community guidelines. Entries that contain offensive, defamatory, infringing, or unlawful content, or that otherwise violate these Official Rules, may be removed and disqualified at Sponsor’s sole discretion.
No purchase, payment, or transaction is necessary. Internet access and a valid platform account are required. Sponsor is not responsible for technical errors, network outages, or other issues that may interfere with timely submission or receipt of entries. Proof of submission does not constitute proof of receipt. Sponsor’s records will be considered conclusive and binding regarding all entries received.
Entry Period The Contest begins on September 16, 2025 at 12:01 a.m. ET and ends on November 16, 2025 at 12:01 a.m. ET (the “Entry Period”).
Sponsor’s servers and computer systems are the sole official time-keeping devices for this Contest. Entries received before the start date/time or after the end date/time will not be accepted or eligible.
Sponsor reserves the right to extend, shorten, suspend, or cancel the Entry Period at its sole discretion if fraud, technical failures, or other factors beyond its reasonable control impair the integrity or proper functioning of the Contest.
Winner Selection and Notification Judging Panel and Criteria: All eligible entries will be reviewed and scored by a panel of judges selected solely by Teramind (“Judging Panel”). Entries will be judged based on the following criteria: honesty (30%), humor (30%), creativity/originality (40%). The Judging Panel’s decisions regarding scoring, tie-breaking, and all Contest matters shall be final, binding, and non-appealable.
Selection Date: One (1) potential Grand Prize winner will be selected on or about [insert date] from all eligible entries received during the Entry Period. Sponsor reserves the right to withhold or not award a prize if, in its sole discretion, it determines that an insufficient number of eligible or quality entries have been received.
Notification Method: The potential winner will be notified by direct message or comment reply on the platform used for entry within 48 hours of selection. It is the entrant’s sole responsibility to ensure their account settings permit Teramind to contact them.
Response Deadline and Alternate Selection: If a potential winner fails to respond within 48 hours of the initial contact, fails to comply with these Official Rules, is found ineligible, or declines the prize, Sponsor may, at its sole discretion, select an alternate winner using the same judging criteria or terminate the prize award.
Affidavit and Release Requirements: The winner must sign and return an Affidavit of Eligibility, Liability Release, and Publicity Release (except where prohibited) within five (5) calendar days of notification. Failure to return these documents within the specified time frame, or failure to comply with any other verification procedures, will result in prize forfeiture and, at Sponsor’s discretion, selection of an alternate winner.
Verification: Sponsor reserves the right to verify the identity, age, and eligibility of any potential winner. Sponsor is not responsible for misdirected or undeliverable notifications due to inactive, incorrect, or blocked account settings.
Prize Grand Prize: Two (2) tickets to Super Bowl LIX (Approximate Retail Value: $3,000). All other costs or expenses associated with attendance or participation, including but not limited to travel, lodging, meals, taxes, fees, insurance, parking, incidentals, and gratuities, are solely the winner’s responsibility.
Non-Transferability and Substitution: The prize is non-transferable, non-exchangeable, non-refundable, and no cash equivalent will be offered. Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value if the advertised prize becomes unavailable for any reason.
Tax Responsibility: The winner is solely responsible for any federal, state, or local taxes, fees, or other costs associated with acceptance or use of the prize. Sponsor may require the winner to provide any information or tax forms necessary for compliance with applicable tax laws.
Acceptance of Risk: By accepting the prize, the winner assumes all risks and liabilities associated with attending or using the prize and agrees that Sponsor and its affiliates are not liable for any injury, loss, or damage arising from participation in the Contest or acceptance or use of the prize.
Publicity Release By entering this Contest, each participant irrevocably, perpetually, and unconditionally grants to Teramind Inc., its affiliates, licensees, successors, and assigns a worldwide, royalty-free, sublicensable, and transferable license and right to use, reproduce, publish, display, distribute, edit, adapt, modify, create derivative works from, and otherwise exploit the participant’s entry, username/handle, name, likeness, photograph, voice, biographical information, statements, and any other materials submitted in connection with the Contest, in whole or in part, in any manner and in any and all media now known or later developed, for advertising, trade, promotional, publicity, commercial, or any other lawful purpose, without further notice, review, approval, or compensation to the participant, except where prohibited by law.
Participants waive any moral rights, rights of publicity, or rights of privacy they may have in connection with such use, to the fullest extent permitted by law. Participants further agree to execute any additional documentation reasonably required by Teramind to perfect, record, or enforce the rights granted herein.
General Conditions & Disclaimers Right to Modify or Terminate: Sponsor reserves the right, in its sole and absolute discretion, to cancel, terminate, modify, or suspend the Contest, or any portion thereof, for any reason, including but not limited to fraud, technical failures, natural disasters, pandemics, acts of government or terrorism, or any other factor beyond Sponsor’s reasonable control that impairs the integrity, security, or proper functioning of the Contest. In such event, Sponsor may, at its discretion, select winners from among all eligible, non-suspect entries received prior to the event requiring such action.
Invalid or Incomplete Entries: Sponsor is not responsible for and expressly disclaims liability for lost, late, misdirected, corrupted, incomplete, invalid, unintelligible, garbled, stolen, or delayed entries, or for any technical, hardware, software, telephone, cable, network, website, or Internet malfunctions or failures of any kind. Sponsor further disclaims responsibility for unauthorized human intervention, technical errors, printing or typographical errors, or any other factor that may affect the administration of the Contest or the integrity of entries.
Assumption of Risk: Participation in the Contest and acceptance or use of any prize is at the entrant’s own risk. Sponsor makes no warranties or representations, express or implied, regarding the prizes, including but not limited to their quality, merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERAMIND, ITS PARENTS, AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSEES, AND ADVERTISING/PROMOTION AGENCIES (COLLECTIVELY, “RELEASED PARTIES”) SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH (A) PARTICIPATION IN THE CONTEST; (B) ACCEPTANCE, POSSESSION, MISUSE, OR USE OF ANY PRIZE; (C) ANY ERRORS IN THE ADMINISTRATION OF THE CONTEST; OR (D) ANY UNAUTHORIZED ACCESS TO OR USE OF ENTRANTS’ PERSONAL INFORMATION.
Release and Hold Harmless: By participating, entrants release, indemnify, defend, and hold harmless the Released Parties from and against any and all liability, claims, actions, demands, losses, costs, damages, or injuries of any kind, including attorneys’ fees and costs, arising in whole or in part, directly or indirectly, from participation in the Contest, the use, misuse, acceptance, or possession of any prize, or any activity related to the Contest.
Compliance with Laws: All federal, state, and local laws and regulations apply. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
Taxes Winner is solely responsible for all applicable federal, state, and local taxes and any other expenses not specifically stated herein.
Governing Law All disputes shall be governed by and construed under the laws of the State of Delaware, without regard to its conflicts-of-law principles. Any action must be brought exclusively in the state or federal courts located in New Castle County, Delaware, and entrants consent to such jurisdiction.
Winner List To obtain the winner’s name, send a self-addressed stamped envelope to: Teramind Inc., Attn: Super Bowl Contest, 525 Randall Ave Ste 100 PMB 491, Cheyenne, WY 82001. Requests must be received within 30 days of the end of the Entry Period.
Sponsor’s Decisions Final All decisions by Teramind regarding eligibility, selection, and all matters relating to this Contest are final and binding.
